Just follow the Hermes cIOS section of the CompleteSoftmodGuide. If you just want to install cIOS 202 offline, ignore the steps involving the other cIOS 222-224.
PS - Not only is the CompleteSoftmodGuide a sticky on the top of the forums, but this topic has been discussed many times before. Please search for answers before making a new post. Repeat posts of old questions just fills the forums up and makes searching for other answers all that harder.
