What are the differences between the two versions, anyway?I'm not going to complain about free BUT could we maybe get an *arcade port* this time instead of the NES game?

More like pointed out the downsides that go along with following their conditions. There is nothing wrong with that. If you want to get the eShop version for some strange reason, then this would be a good deal, but there are some major downsides to it.

I thought "ok cool, I plan on getting sticker star anyway." Then I read it's only for ppl who buy from eshop. Damn you nintendo! Some ppl still want their physical boxart, manual and most importantly the physical copy of the game that they can trade in if they want. This is a great bonus though for those that are cool with getting the digital copy.
My guess is they are doing this to limit the sale of used games. Trade-ins at stores like GameStop hurt companies just as much as piracy (even more actually, according to an article I read awhile back).
When a physical copy of a game is sold, Nintendo (and any developer that may have worked on it) gets part of the profit, and the store that sold it gets the rest. Then someone plays the game and decides they don't want it anymore. GameStop buys it back at a reduced price, then sells it again, making more money. This process repeats until the game breaks, or someone decides they want to keep it forever.
As you can tell, it is far more profitable for Nintendo to sell digital copies. They get 100% of the profit, and the customer can't trade it in. They also don't have to spend money manufacturing a physical copy, since it's just a download.
