In essence nothing. Both are modified system software, both redirect hardware functions to a cloned copy of the 3DS's NAND mounted on a partition of the 3DS's internal SD card.

There are significant differences between the publicly available CFWs which are emuNAND, NTR-CFW and the leaked 4.x based offering.

Are there any benefits to CFW over a regular emuNAND other than (I imagine) homebrew? And they can only run on 4.5 sysNAND correct?
