Well sumary of the story, my friend have an o3DS (9.4.0-21 U) and got a o3DSXL , the 3DS wasn't updated in times but have some eshop content, she want to send this all to the XL to keep using original stuff there, but want to install a CFW on the old to use mods and stuff
here's the plan :
Create an emunand on the 3DS, system transfer from it to the XL, back to the 3DS and make the CFW
there are something I'm missing? Is a good idea? XD

to create an emunand on that 9.4.0 3ds , you have to downgrade it first , then you can create emunand ,and use a cfw and update it to the latest firmware(transferruing data force you to update to the latest firmware on both 3ds)

I know about forcing the update this is why the idea is a CFW before transfer... and She do not wnat to hack both so just one with the CFW XD

As I know, the downgrading doesn't matter.
You can still downgrade on 9.4
