    There's no need for a WAD in order to transfer your content from Wii to Wii U. Though I'm not sure of any WAD's involving "no-internet". If you're facing problems with your WiFi, just be sure to enable enable SSID advertising/broadcast on your router.

    It's either: Wii Backup Manager (this uses FAT32 format giving you access to your files from Windows Explorer). WBFS Manager (formatting your drive to .wbfs though no access using to your drive using Windows Explorer).

    What firmware are you on at the moment? If you're on 4.3 at the moment, you'll be happy to know that this will only be a minor update (such as: Wii Shop Channel etc). Though I suggest you install a USB loader or PriiLoader to block disk updates. Remember, DON'T DOWNGRADE YOUR WII SYSTEM.

    Though, a black screen will appear on the startup once bootmii boot2 is installed onto your Wii device via SDHC. That's why it's recommended that only SD cards are used.
